1. Agreement to Terms
By accessing or using the Regalia platform ("Platform"), operated by Regalia ("we," "us," or "our"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, do not use the Platform. We may update these Terms at any time by posting the revised version. Your continued use of the Platform after changes are posted constitutes acceptance of those changes.
2. Eligibility
You must be at least 18 years old and capable of entering into a legally binding agreement to use the Platform. By registering, you represent that all information you provide is accurate and that you will maintain its accuracy. We reserve the right to refuse service or terminate accounts at our discretion.
3. The Platform
Regalia is an online marketplace that connects buyers and sellers of luxury goods and experiences, including watches, fine art, and curated experiences. Regalia acts solely as a venue. We are not a party to any transaction between buyers and sellers, and we do not take title to or possession of any items listed on the Platform.
While we provide tools such as escrow, seller verification, and listing guidelines to facilitate trust, we do not guarantee the accuracy of any listing, the quality or authenticity of any item, or the performance of any user.
4. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access. Each individual may maintain only one account.
We may suspend or terminate your account at any time for violation of these Terms, suspected fraud, or conduct that we determine is harmful to other users or to the Platform.
5. Seller Verification
Before listing items for sale, sellers must complete our identity verification process, which may include providing government-issued identification, proof of address, and additional documentation depending on seller type (private seller, artist, or dealer/gallery). Verification does not constitute an endorsement of the seller or guarantee the authenticity of their items. It confirms only that the seller has provided the requested identity documentation.
6. Listings & Seller Obligations
Sellers must provide accurate and complete information for every listing, including but not limited to: item description, condition, photographs, pricing, and any known defects or modifications. Misrepresentation of any listing detail is grounds for immediate account suspension.
Sellers are prohibited from listing:
- Counterfeit, replica, or unauthorized items
- Stolen property
- Items that violate any applicable law or regulation, including CITES-regulated materials
- Items that infringe on the intellectual property rights of any third party
Sellers are solely responsible for ensuring that their listings comply with all applicable laws, including export regulations, consumer protection laws, and tax obligations. Regalia is not responsible for the accuracy of any listing.
7. Authentication
Regalia may offer authentication tools, including serial number validation, reference number verification, and seller reputation scoring. These tools are provided as informational aids to support buyer confidence.
Authentication assessments are opinions, not guarantees. Regalia does not warrant or guarantee the authenticity, provenance, condition, or value of any item listed on the Platform. Buyers are encouraged to conduct their own independent verification, including professional appraisal, during the inspection period.
8. Purchases & Escrow
All payments are processed through our third-party payment provider (currently Stripe). When a buyer purchases an item, funds are held in escrow until the transaction is complete.
The escrow process works as follows:
- Buyer submits payment. Funds are captured and held.
- Seller ships the item and provides tracking information.
- Buyer receives the item and an inspection period begins.
- For physical goods (watches, art): 14-day inspection period from delivery.
- For experiences: 48-hour window after the experience takes place.
- If the buyer confirms the item is as described, or the inspection period expires without a dispute, funds are released to the seller.
- If a dispute is opened, funds remain held until the dispute is resolved.
Regalia is not a bank or financial institution. Funds held in escrow are maintained by our payment provider in accordance with their terms of service. We do not pay interest on held funds.
9. Returns & Disputes
If an item is not as described, the buyer may open a dispute during the inspection period. We will review evidence from both parties and make a determination. Possible outcomes include full refund to the buyer, partial refund, or release of funds to the seller.
For returns, the buyer is responsible for return shipping costs unless the item is materially different from the listing description. Items must be returned in the same condition in which they were received.
Experiences are non-refundable after they have taken place unless they did not match the listing description. Cancellation policies set by the host apply to cancellations made before the experience date.
10. Fees
Regalia charges a commission on completed sales, deducted from the seller's payout. Commission rates are determined by the seller's membership tier:
- Member: 6.5%
- Connoisseur: 4%
- Elite: 2.5%
- Patron: 1%
There are no listing fees and no buyer fees. Regalia reserves the right to modify its fee structure with reasonable notice to users. Payment processing fees charged by our payment provider may apply separately.
11. Membership & Credits
Regalia operates a membership tier system based on activity credits. Credits are earned through purchases, sales, referrals, and event attendance. Higher tiers unlock privileges including reduced fees, priority access, and exclusive events.
Credits have no cash value and are non-transferable. Regalia reserves the right to modify, suspend, or discontinue the membership program, credit values, or tier thresholds at any time. Membership privileges are personal and may not be shared or transferred.
12. Prohibited Conduct
You agree not to:
- Provide false or misleading information in listings, account details, or disputes
- Circumvent the Platform to complete transactions off-platform and avoid fees
- Manipulate pricing, reviews, or transaction data
- Create or operate multiple accounts
- Harass, threaten, or abuse other users
- Use the Platform for money laundering or any illegal activity
- Scrape, crawl, or use automated tools to extract data from the Platform
- Interfere with the security or functionality of the Platform
Violation of these rules may result in immediate account suspension, forfeiture of pending payouts, and permanent ban from the Platform.
13. Intellectual Property
All Platform content, including design, text, graphics, logos, and software, is the property of Regalia or its licensors and is protected by intellectual property laws. You may not copy, reproduce, or distribute any Platform content without our written permission.
By posting listings or other content on the Platform, you grant Regalia a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute that content in connection with operating and promoting the Platform. This license survives termination of your account.
14. Privacy
Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Platform, you consent to the practices described in the Privacy Policy. Seller verification documents are encrypted and stored securely and are used solely for identity verification purposes.
15. Limitation of Liability
To the maximum extent permitted by law, Regalia and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Platform, including but not limited to: loss of profits, data, goodwill, or other intangible losses.
Regalia's total liability for any claim arising from these Terms or your use of the Platform shall not exceed the total fees you have paid to Regalia in the twelve (12) months preceding the claim.
Without limiting the foregoing, Regalia is not liable for:
- The authenticity, quality, legality, or safety of any item listed
- The accuracy of any listing information provided by sellers
- Loss or damage during shipping
- The conduct of any user, whether online or offline
- Any failure of a seller to deliver or a buyer to pay
- Service interruptions or technical errors
16. Indemnification
You agree to indemnify, defend, and hold harmless Regalia and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: your use of the Platform, your violation of these Terms, your violation of any law or the rights of any third party, or any content you submit to the Platform.
17. Dispute Resolution & Arbitration
Any dispute, claim, or controversy arising from or relating to these Terms or the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in New York, New York, and the arbitrator's decision shall be final and binding.
You agree to resolve disputes on an individual basis only. You waive any right to participate in a class action, collective action, or representative proceeding. This class action waiver is an essential part of this arbitration agreement and cannot be severed.
18. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in New York County, New York.
19. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent.
20. Entire Agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Regalia regarding your use of the Platform. They supersede all prior agreements, representations, and understandings.
